Certificates for Client

Certificates, representing ownership in the entities on the ‘Company Profile’, are listed on the ‘Certificates’ form. The ‘Certificates’ form contains detailed information for each certificate of ownership. It is not a data entry form.



 

Opening the Certificates Form

To open the ‘Certificates’ form, open the ‘Owner Register’ from the ‘Navigation’ toolbar on the left side of the web page.

Under ‘Forms’ on the left side of the ‘Owner Register’, press the ‘Certificates’ button.

The ‘Certificates’ form will open.


 

Moving Between Companies’ Data: View certificates for a different company by selecting a company name from the ‘View All Companies’ list to the right of the form.


 

Certificates - Layout

Certificate records created on the ‘Enter Transaction’ form are listed on the ‘Certificates’ form.

  1. Filter the list for a type of ownership by selecting an ownership type, e.g. ‘Common’, ‘Preferred’, or ‘Units’, from the ‘Check Ownership Type To Filter’ option.
  2. To filter by date, enter a beginning and ending date.
  3. Then check the ‘Apply Filter’ button.
  4. To hide surrendered certificates, check the ‘Hide Surrendered Shares/Units’ check box.

Scroll to the right using the horizontal scroll bars at the bottom of the form to see additional information. The green shaded records are replaced/surrendered certificates.

Use the vertical scroll bar to move up and down through certificate records.

By scrolling to the right, the certificate number(s) for surrendered/replaced certificate(s) are displayed in the ‘Replaced Certificate(s)’ column (see below).

Scroll further to the right to see which certificates replaced the surrendered certificates and the date they were replaced.


 

Create A Transaction

Press the ‘Create A Transaction’ button (see above) to open the ‘Enter A Transaction’ form (see below). The ‘Create a Transaction’ form is described in the ‘Create A Transaction Help’ file.


 

Delete a Transaction

In order to delete a transaction, click the most recent active transaction or a buyback transaction and the ‘Delete Transaction’ button (see below) or the ‘Delete Buyback’ button will appear beneath. Press the Delete Transaction button or the Delete Buyback button. All active certificates in the same transaction will be deleted, not just the selected certificate. Why? Because the ‘Owner Register’ must be balanced, that is, the number of shares/units purchased must equal the number sold. Deleting only one certificate in a multi-certificate transaction would cause the transaction to be out of balance. Surrendered certificates replaced by the deleted certificates are returned to ‘Active’ status.

If any of the certificates in a transaction being deleted are surrendered, the transaction cannot be deleted. Any transactions that replaced the surrendered certificate must be deleted first. The surrendered certificate will then change from surrendered to active and the transaction can then be deleted.

The most recent active transactions must always be deleted before the older transactions can be deleted in order to maintain the audit trail. However, buyback transactions can be deleted regardless of where they are, unless there are certificates that come after any certificates involved in the transaction with the buyback.


 

Edit Certificate

Select a certificate record and press the ‘Edit Certificate’ button (see above) to modify the data. Only active certificates can be edited. Some fields cannot be changed to prevent the owner register from becoming invalid. If a certificate must be modified, it is often better to delete and reenter the entire transaction. Press the ‘Save Changes’ button to commit changes to the database. Unsaved changes will be lost.


 

Download Certificates

Press the ‘Download Certificates’ button (see above) to open a dialog where individual certificates can be selected (see below).

Check mark the certificates to be downloaded and then press the ‘Download Stock Certificates’ button (see above). A PDF file containing all the certificates will be downloaded to the local computer’s default download location.


 

Edit Certificate Text

The certificate text can be modified. Press the ‘Edit Certificate Text’ button (see above) and the edit form appears (see below).

There is default text in each of the three textboxes (see above). Change the text as needed.

There are six placeholders in the ‘Draggable Data Placeholders’ box on the left side of the form that can be dragged to any location in the three textboxes on the right. Matching data from the database will be inserted at the location of the placeholders. To delete a placeholder, select it and press the ‘Delete’ key on the local keyboard.

Press the ‘Save Certificate Text’ button to save changes to the database and then press the ‘Close’ button (see above). To discard changes, press the ‘Close’ button without pressing the ‘Save Certificate Text’ button.


 

View Transaction

Select a certificate record and additional buttons will be added at the bottom of the form (see below).

Press the ‘View Transaction’ button (above). The ‘Transactions’ form (below) will appear with the transaction displayed that contains the selected certificate.


 

Tools Menu

The ‘Tools’ menu on the ‘Certificates’ form opens the ‘Owner Register’ where the ‘Tools’ menu options can be selected. Owner register tools are described in the ‘Owner Register Help’ file.


 

Reports Menu

The ‘Reports’ menu on the ‘Certificates’ form opens the ‘Owner Register’ where the type of ownership can be selected, and reports can be created. Owner register reports are described in the ‘Owner Register Reports Help’ file.
